1. Introduction

Welcome to SoilSense! These Terms and Conditions ("Terms") govern your use of our software and hardware solutions for farmers, including our website, mobile applications, and any related services (collectively, the "Services"). By using our Services, you agree to comply with and be bound by these Terms.

2. Definitions

- "Company," "we," "us," or "our" refers to SoilSense.

- "User," "you," or "your" refers to any individual or entity using our Services.

- "Hardware" refers to the soil monitoring devices and related equipment sold by SoilSense.

- "Software" refers to our proprietary applications and platforms used for data collection and analysis.

3. Use of Services

3.1. You must be at least 18 years old to use our Services.

3.2. You agree to provide accurate and complete information when creating an account and using our Services.

3.3. You are responsible for maintaining the confidentiality of your account credentials.

3.4. Unauthorized use of our Services may result in suspension or termination of your account.

4. Product Purchases and Payments

4.1. All orders for hardware are subject to acceptance and availability.

4.2. Upon starting to use our paid services, you enter into a 12-month contract. This contract will automatically renew unless cancelled.

4.3. Payment must be made in full 14 days from the date the invoice is issued. SoilSense reserves the right to demand upfront payment for orders above €10.000, or of equivalent value.

4.4. We accept payments by bank transfer.

4.5. Import taxes and local VAT are the responsibility of the customer.

4.6. Shipping fees may apply and will be indicated via email or invoice before the hardware is shipped.

5. Delivery and Installation

5.1. Estimated delivery times are provided but are not guaranteed.

5.2. You are responsible for ensuring a suitable environment for hardware installation.

5.3. We may provide installation guidelines, but professional installation services may be recommended.

6. Software License and Updates

6.1. We grant you a non-exclusive, non-transferable, revocable license to use our Software.

6.2. You may not modify, distribute, or reverse-engineer the Software.

6.3. Updates and enhancements may be provided from time to time, which may include additional terms.

7. Data Usage and Privacy

7.1. By using our Services, you consent to the collection and use of your data as described in our Privacy Policy.

7.2. We collect data related to soil conditions, weather, and user interactions with our Services.

7.3. We do not sell or share your data with third parties without your explicit consent.

8. Warranties and Liability

8.1. Our hardware is covered by a 24-month limited warranty for manufacturing defects. This warranty does not cover damages caused by force, misuse, or unauthorized modifications.

8.2. We do not guarantee specific farming outcomes based on data analysis.

8.3. To the fullest extent permitted by law, we disclaim all liability for indirect or consequential damages.

9. Termination

9.1. We reserve the right to suspend or terminate your access to the Services for violations of these Terms.

9.2. You may terminate your account by contacting our support team under contact@soilsense.io.

9.3. If you are using our paid services, you must provide at least 60 days' notice, in writing, before the contract expires to cancel it.

10. Governing Law

10.1. These Terms shall be governed by and construed in accordance with the laws of Denmark.

10.2. Any disputes arising under these Terms shall be resolved through arbitration in Copenhagen.

11. Changes to Terms

11.1. We may update these Terms from time to time. Continued use of the Services after changes indicates your acceptance.

13. Use of AI Services (only applicable if using AI feature)

13.1. Our Services incorporate artificial intelligence (AI) technology provided by third-party vendors, including but not limited to OpenAI's Large Language Models (LLMs).

13.2. AI-generated insights and recommendations are provided for informational purposes only and should not be considered professional advice.

13.3. Users acknowledge that AI-generated content may contain inaccuracies, and SoilSense is not liable for any decisions made based on such content.

13.4. By using our Services, you agree to the terms and conditions set forth by the AI service providers, which can be accessed via the respective provider's website.

13.5. We reserve the right to modify or discontinue the use of AI services at any time without prior notice.

14. Language and Precedence

In the event of discrepancies between translations of these Terms, the English version shall prevail.
