These Terms and Conditions ("Terms") govern the subscription agreement between SoilSense ("we," "us," or "our") and the subscribing customer ("you" or "customer"). By subscribing to our services and products, you agree to comply with and be bound by these Terms.
1. Subscription Start Date
The subscription period begins on the delivery date of the hardware provided by SoilSense.
2. Automatic Renewal and Cancellation
Subscriptions renew automatically each year unless canceled in writing at least two (2) months before the end of the subscription year.
3. Payment Terms
Yearly Payment is due 30 days from the date the invoice is issued by SoilSense. Failure to pay within the specified timeframe may result in suspension or termination of services.
4. Ownership and Return of Hardware
The hardware provided by SoilSense remains the property of SoilSense. Upon termination of the subscription, you must return all hardware to SoilSense in good condition.
5. Data Ownership
You own all data collected by the SoilSense system, in accordance with applicable data protection and privacy laws.
6. Changes During Subscription
SoilSense reserves the right to make changes or updates to the subscription features or services. Such changes are included in the subscription. If additional costs are incurred due to upgrades, you will be notified at least two (2) months in advance.
7. Referral Program
Any referral agreements or conditions must be confirmed in writing by SoilSense.
8. Intellectual Property
All intellectual property rights related to SoilSense’s hardware, software, services, and brand are the exclusive property of SoilSense. You may not reproduce, copy, modify, distribute, or otherwise use any intellectual property without prior written consent.
9. Non-Transferability
You may not transfer, sell, lease, or otherwise assign the hardware or subscription without prior written consent from SoilSense.
10. Jurisdiction and Governing Law
These Terms are governed by and construed in accordance with the laws of Denmark. Any disputes shall be resolved in the courts of Denmark.
11. Warranty
The hardware provided by SoilSense includes a 24-month warranty, subject to our warranty terms and conditions. The warranty covers manufacturing defects but does not cover misuse, damage, or theft.
12. Hardware Theft or Damage
If the hardware is stolen or damaged during the subscription period, you are responsible for notifying SoilSense immediately and paying a one-time replacement fee of €350. The subscription will continue under the same terms.
13. Language and Precedence
In the event of discrepancies between translations of these Terms, the English version shall prevail.
